Times China Increases Share Capital by 4.47 Million Shares via Mandatory Convertible Bond Conversions

Times China Holdings Limited disclosed in a Next Day Disclosure Return to the Hong Kong Stock Exchange that it has issued a total of 4.47 million new ordinary shares following the conversion of two tranches of zero-coupon mandatory convertible bonds (MCBs) originally issued on 28 November 2025.

On 7 September 2026, 2.33 million shares were allotted upon conversion of “MCB I” at HKD 6.00 per share, representing 0.08 % of the company’s pre-event issued share capital. An additional 2.14 million shares were issued from the conversion of “MCB II” at HKD 10.00 per share, accounting for a further 0.07 %.

The combined issuance of 4.47 million shares expanded the outstanding share count from 2.996 billion to 3.001 billion, a dilution of approximately 0.15 %. No treasury shares were outstanding, and the filing confirms there were no share repurchases or on-market sales of treasury shares during the period.

The company secretary affirmed that the conversions were authorised by the board and carried out in full compliance with Hong Kong listing rules, all requisite filings, and other regulatory requirements.
