SENIOR MATERIAL intends to acquire an additional 59.98% equity interest in Bangci Electronic Technology (Yancheng) for RMB241.83 million in cash. The target was valued at RMB629 million using an income approach, and the consideration was determined after arm’s-length negotiations with eight independent sellers.
Post-transaction, SENIOR MATERIAL’s holding in Bangci Electronic will rise from 13.50% to 73.48%, positioning the target as a non-wholly-owned subsidiary and bringing its results into the Group’s consolidated statements. Bangci Electronic focuses on multilayer and monolayer piezoelectric ceramic components applied in industries such as semiconductors, new energy batteries and aerospace.
Payment will be settled in one or two instalments, depending on the specific seller, and funded by internal resources. Key sellers include Wotao Electronic (25.00% stake for RMB87.50 million) and Fortune New Materials Phase II (15.33% stake for RMB53.65 million). Completion is subject to conditions precedent such as regulatory approvals, waiver of pre-emption rights by existing shareholders and registration of equity changes.
SENIOR MATERIAL cites industry growth in high-precision manufacturing and complementary customer bases as strategic drivers. The company will seek shareholder approval at an extraordinary general meeting scheduled for 23 September 2026 in Shenzhen.
