CHINA RE Secures Regulatory Nod for Lyu Zhi’s Appointment as Non-Executive Director

On 1 September 2026, China Reinsurance (Group) Corporation (CHINA RE) received confirmation from the National Financial Regulatory Administration (NFRA) approving Mr. Lyu Zhi’s qualification to serve as a director of the company.

Mr. Lyu’s term as a non-executive director, vice-chairman of the Audit Committee and member of the Related-Party Transactions Control Committee commenced retroactively on 26 August 2026 and will run until the current (fifth) Board session ends. He is eligible for re-election upon term expiry. Mr. Lyu recently stepped down as a director of Galaxy Fund Management Co., Ltd. in August 2026.

The company’s Audit Committee currently does not meet Hong Kong Listing Rule 3.21, which requires a majority of independent non-executive directors, as the NFRA has yet to approve Mr. Zhang Xueyong’s qualification as an independent non-executive director. CHINA RE’s Board stated it will take measures to restore full compliance once regulatory approval for Mr. Zhang is obtained.

As of the announcement date, CHINA RE’s Board comprises two executive directors (Mr. Zhuang Qianzhi and Ms. Zhu Xiaoyun), four non-executive directors (Mr. Yang Changsong, Mr. Zhou Zheng, Mr. He Xingda and Mr. Lyu Zhi), and three independent non-executive directors (Mr. Dai Deming, Ms. Ye Mei and Mr. Keung Yui Fai).
