HG Semi Cancels 1.81 Million Awarded Shares, Issued Capital Drops to 1.17 Billion in April

HG Semi (HG Semiconductor Limited) reported a net reduction of 1.81 million ordinary shares in April 2026, bringing total issued shares (excluding treasury shares) to 1.17 billion. The decrease, equivalent to roughly 0.15 % of the share base, resulted from the cancellation of unvested awarded shares whose performance targets were not met under the 2023 Share Award Scheme.

Authorised share capital remained unchanged at 10.00 billion ordinary shares with a par value of HK$0.01, translating to HK$100 million.

Key scheme data: • Share Option Scheme (adopted 2 December 2016): 1.78 million options outstanding; no exercises or share issues during the month. • 2023 Share Award Scheme: capacity stands at 93.88 million shares; no new shares were issued in April.

No warrants, convertibles or treasury-share movements were reported, and the company confirmed compliance with the 25 % minimum public-float requirement.
