Just after expressing unwavering confidence, a major shareholder cashed out. On September 9, Shu Ping, wife of HAIDILAO founder Zhang Yong, sold 259 million shares at a 6.7% discount, raking in HK$2.75 billion. The news sent the stock tumbling over 12% intraday, hitting a four-and-a-half-year low.

The timeline is what makes this particularly puzzling. In May, Zhang Yong had increased his stake by 11.35 million shares at HK$13.39 per share, spending HK$152 million. His wife, however, offloaded shares at HK$10.62 each, creating a price gap of over 20% between the two transactions. Is this a case of "bottom-fishing" or "escaping at the top"?

Three key risks demand attention. First, revenue growth without profit growth signals fundamental concerns. First-half revenue hit a record HK$22.3 billion, but profits remained nearly flat. Low-margin delivery services and secondary brands are weighing on profitability, while store counts continue to shrink.

Second, speculation swirls around offshore trust tax issues. Market observers suggest the reduction may be linked to new mainland regulations on taxing offshore trusts. If true, could more cashing out be on the horizon?

Third, combined shareholding has fallen to just 9.3%. This latest disposal represents 4.65% of total shares and 12% of free-float shares. With major shareholders accelerating their exit, who is left to absorb the selling pressure?

With the husband expressing bullish sentiment while the wife sells, investors face a classic dilemma in this family-run enterprise. Short-term sentiment will inevitably remain under pressure, and with the restaurant industry still in a cold spell, one has to wonder how much longer the HAIDILAO story can sustain itself.
