Wan Kei Group Holdings Limited reported that shareholders overwhelmingly approved all seven ordinary resolutions at the 2026 Annual General Meeting held virtually on 1 September 2026. Each motion—ranging from receipt of FY26 financial statements to the renewal of share issue and repurchase mandates—garnered 22.06 million votes in favour, representing 99.99% of the 22.06 million votes cast.
Key approvals include: • Reappointment of Ascenda Cachet CPA Limited as auditor with board-determined remuneration. • Re-election of independent non-executive director Zhang Yi. • Renewal of a general mandate allowing directors to issue new shares up to 20% of the 304.12 million issued shares and to repurchase up to 10% of issued capital, with an extension permitting re-issuance of repurchased shares.
No shareholders were required to abstain, and no votes were cast against any resolution in significant numbers. Tricor Investor Services Limited acted as scrutineer.
The meeting also marked the retirement of Executive Director Wang Yu, who chose not to seek re-election to focus on other business commitments. The board expressed gratitude for his service.
Post-AGM, committee realignments were confirmed: Wang Yu stepped down from the Investment Committee; Zhang Yi left the Nomination Committee; and Independent Non-Executive Director Dan Xi joined both bodies, ensuring compliance with the Corporate Governance Code’s gender diversity provisions.
Following these changes, Wan Kei’s board comprises Executive Director Bai Huawei, Non-Executive Director Xu Lin (Chairman), and Independent Non-Executive Directors Jiang Senlin, Zhang Yi and Dan Xi.
