Bairong AI repurchases 0.22% of Class B shares for HK$5.11 million, boosting treasury stock

Bairong AI Inc., a Cayman-incorporated company with a weighted voting rights structure, reported the acquisition of 987,000 Class B shares on 4 September 2026 via on-market transactions on the Hong Kong Stock Exchange. The buyback was executed at prices ranging from HK$5.03 to HK$5.305, translating into a volume-weighted average cost of approximately HK$5.17 per share and an aggregate outlay of HK$5.11 million.

The repurchased shares, which represent 0.22% of Bairong AI’s issued Class B share capital prior to the transaction, were retained as treasury stock. Consequently, the outstanding Class B share count declined from 371.89 million to 370.90 million, while treasury shares rose to 24.51 million. The total issued share capital of 395.41 million shares remained unchanged.

This transaction forms part of a share-repurchase mandate approved by shareholders on 30 June 2026, authorising the company to buy back up to 44.99 million shares. Including the latest tranche, Bairong AI has purchased 6.36 million shares under the mandate, equivalent to 1.41% of the issued share base on the mandate date, leaving roughly 38.63 million shares available for further repurchase.

In line with Hong Kong listing regulations, Bairong AI is now subject to a moratorium on issuing new shares or disposing of treasury shares until 4 October 2026.
