Beijing Yunji Technology Co., Ltd. (Yunji) announced that its extraordinary general meeting (EGM) held on 2 September 2026 approved a special resolution to implement a share subdivision and related amendments to the Articles of Association.
A total of 30.52 million shares—representing the voting rights of attending shareholders or their proxies—were cast by poll. The resolution received 30.51 million votes in favour, equal to 99.99% support, comfortably surpassing the two-thirds threshold required for special resolutions under Hong Kong Listing Rules. Only 0.01% (3,700 votes) were recorded as abstentions; no votes were cast against the proposal.
At the time of determining eligibility to attend the EGM, Yunji had 69.75 million issued shares. Of these, 69.35 million shares were entitled to vote, excluding 0.41 million treasury H shares, which carried no voting rights and were not voted. No shareholders were required to abstain from voting, and none indicated opposition in advance.
All members of the Board—comprising executive, non-executive, and independent non-executive directors—were present at the meeting. Tricor Investor Services Limited acted as the independent scrutineer for vote counting.
The approved share subdivision and corresponding amendments to the Articles of Association will now proceed in accordance with the terms outlined in the company’s circular dated 14 August 2026.
