Truly International Cuts Outstanding Shares by 11.64 Million in August 2026 Through Buy-backs

Truly International Holdings Limited reported that its issued share base fell by 11.64 million ordinary shares in August 2026, driven entirely by on-market repurchases that were cancelled on 11 August 2026. The buy-backs reduced the company’s outstanding share count to 2.92 billion from 2.93 billion, a 0.40% decline versus end-July.

Authorised capital remained unchanged at 5.00 billion ordinary shares with a par value of HKD 0.02 each, equivalent to HKD 100.00 million.

Repurchase activity: • Cancelled: 11.64 million shares were repurchased and cancelled on 11 August 2026 (price undisclosed in the filing). • Pending cancellation: An additional 3.51 million shares previously repurchased on 12 May 2026 remain to be cancelled; acquisition prices ranged from HKD 0.794 to HKD 0.838 per share.

No new shares, options, warrants, convertibles, or treasury shares were issued or outstanding during the month.

Post-transaction, the company confirmed compliance with the Hong Kong Main Board’s minimum public-float requirement of 25% of issued shares.
