TUHU-W Buys Back 206,700 Class A Shares at up to HK$12.40; Cumulative Repurchases Reach 13.40 Million Shares

TUHU Car Inc. (TUHU-W) filed a Next Day Disclosure Return with Hong Kong Stock Exchange on 1 September 2026, detailing the latest progress of its share-repurchase programme authorised on 5 June 2026.

On 1 September 2026 the company repurchased 206,700 Class A weighted-voting-right ordinary shares on the Exchange at prices between HK$12.05 and HK$12.40, for an aggregate consideration of HK$2.55 million. The shares, which represent 0.0251% of TUHU-W’s 823.35 million total issued shares as at 31 August 2026, are earmarked for cancellation.

Including this transaction, TUHU-W has bought back 13.40 million shares under the current mandate—equivalent to 1.62% of the share count when the mandate was granted—leaving authority to repurchase up to a further 69.37 million shares out of the original 82.77 million-share limit.

Between 24 August and 1 September 2026 the company executed seven on-market repurchase tranches totaling 8.21 million shares pending cancellation, at volume-weighted average prices ranging from HK$11.49 to HK$12.39 per share. Following these transactions, the issued share capital remains at 755.86 million Class A shares and 67.49 million Class B shares until cancellation is completed.

Consistent with Main Board Rule 10.06(3)(a), TUHU-W cannot issue new shares or dispose of treasury shares until 1 October 2026. The board confirms that all repurchases complied with Hong Kong listing rules and relevant legal requirements.
