R&F Properties Warned by Guangdong CSRC for Delayed Disclosure of Borrowings and Litigation

Guangzhou R&F Properties Co., Ltd. (R&F Properties) has received a Warning Letter ([2026] No. 113) from the Guangdong Regulatory Bureau of the China Securities Regulatory Commission for failing to disclose on time certain overdue interest-bearing borrowings as well as material litigations and arbitrations. The administrative measure applies to the company, its Chairman and executive director Dr. Li Sze Lim, and other relevant personnel.

R&F Properties stated it will conduct “in-depth reflection and practical rectifications,” pledging strict adherence to Shanghai Stock Exchange disclosure rules going forward. Management said the regulatory action is not expected to have a material adverse impact on the group’s production, operations, financial condition or debt-repayment capability.

The board affirmed that, apart from the issues cited, no additional matters require shareholder attention under Hong Kong Listing Rules 13.51(2) and 13.51B(2). The announcement was signed by Company Secretary Lee Michael on 2 September 2026.
