Conch Cement Buys Back 0.03% of H-Share Float for HKD 6.66 Million

Anhui Conch Cement Company Limited (“Conch Cement”) disclosed a fresh tranche of share repurchases, acquiring 400,000 H shares on 7 September 2026 via the Hong Kong Stock Exchange.

• Transaction details – Volume: 400,000 H shares, equivalent to 0.0311 % of Conch Cement’s outstanding H-share capital prior to the transaction. – Price range: HKD 16.61 to HKD 16.68 per share, resulting in a volume-weighted average cost of roughly HKD 16.65. – Aggregate consideration: HKD 6.66 million. – All repurchased shares are being retained as treasury stock; none have been cancelled.

• Post-transaction share capital structure (as of 7 September 2026) – Issued shares (excluding treasury): 1.28704 billion – Treasury shares on hand: 12.57 million – Total issued shares (including treasury): 1.29960 billion

• Repurchase mandate utilisation – Authorised under shareholders’ resolution dated 28 May 2026 for up to 1.30 billion shares. – Cumulative repurchases since mandate inception: 12.57 million shares, representing 0.97 % of the company’s issued share capital at the mandate date.

• Regulatory considerations – Conch Cement is subject to a 30-day moratorium on issuing new shares or disposing of treasury shares, effective until 7 October 2026, in accordance with Hong Kong Listing Rules.

The company affirmed that all buybacks were executed in compliance with the Hong Kong Main Board Listing Rules and that no material changes have occurred to the explanatory statement filed with the Exchange on 23 April 2026.
