QPL International Holdings Limited will ask shareholders to approve several routine yet significant resolutions at its annual general meeting scheduled for 6 October 2026, 10:30 a.m. at The Center, Central, Hong Kong.
Key items on the agenda:
• Director re-elections – Independent non-executive directors Mr Franco Chu Chun On and Mr Liu Rongrui will retire by rotation and offer themselves for re-election. – Mr Chu, in post since September 2016, has served more than nine years; his continuation therefore requires a separate resolution under Hong Kong’s Corporate Governance Code. – Both nominees have affirmed independence under Listing Rule 3.13. Director fees remain at HK$120,000 and HK$96,000 per annum for Mr Chu and Mr Liu, respectively.
• General Mandate to Issue Shares – Board seeks authority to allot and issue up to 20% of the issued share capital as at the AGM date. – Based on 346.49 million shares in issue on 26 August 2026, the mandate would permit issuance of up to 69.30 million new shares. – Any shares repurchased under the buy-back mandate may be added to the issuance limit.
• Share Repurchase Mandate – Authority to buy back up to 10% of issued shares, equal to a maximum of 34.65 million shares. – Repurchases will be funded from distributable profits or share premium, subject to Bermuda law and Listing Rules. – The company confirms no repurchases were made in the six months prior to 26 August 2026.
• Administrative Details – Share register will be closed 30 September–6 October 2026, inclusive. – Proxy forms must be lodged with Tricor Investor Services at least 48 hours before the meeting. – All resolutions will be decided by poll.
The mandates, if approved, will remain effective until the conclusion of the next AGM, the expiry of the statutory period for holding that meeting, or any earlier revocation by shareholders.
