SBI Holdings (TYO:8473) said its unit SBINM GK will acquire up to 1.8 million common shares in Brangista (TYO:6176) through market purchases on the Tokyo Stock Exchange, according to a Thursday filing on the Tokyo Stock Exchange.

The company said the purchases, scheduled between Friday and March 31, 2027, represent 12.06% of Brangista's voting rights and are expected to increase its voting-rights ownership to 20.02%.

The acquisition will involve acquiring 5% or more on a voting rights basis, making it equivalent to a tender offer, and will make Brangista an equity-method affiliate if the maximum acquisition is completed.
